PLEASE READ THESE TERMS AND CONDITIONS ("TERMS") CAREFULLY BEFORE USING THE SERVICES OFFERED BY STUDENT-LED INNOVATIONS, LLC, DOING BUSINESS AS CAREER BRIDGE ("CAREER BRIDGE," "COMPANY," "WE," "US," OR "OUR").
THESE TERMS FORM A BINDING AGREEMENT BETWEEN YOU AND CAREER BRIDGE. BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.
Interpretation
Words for which the initial letter is capitalized have meanings defined under the following conditions. These definitions shall have the same meaning regardless of whether they appear in singular or plural form.
Definitions
For the purposes of these Terms and Conditions:

Account means a unique account created for You to access Our Service or parts of Our Service.

Affiliate means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for the election of directors or other managing authority.

Application means the Career Bridge software application, web application, progressive web application, or other software interface provided by the Company and accessed by You through an electronic Device.

Application Store means a digital distribution service, including the Apple App Store or Google Play Store, through which an Application may be made available.

Company (referred to as either the "Company," "Career Bridge," "We," "Us," or "Our" in these Terms) refers to Student-Led Innovations, LLC, doing business as Career Bridge, PO Box 149, Pharr, TX 78577.

Content means text, images, documents, videos, files, messages, portfolio materials, submissions, or other information that may be posted, uploaded, submitted, linked to, communicated, or otherwise made available through the Service.

Country refers to the United States.

Device means any device capable of accessing the Service, including a computer, mobile phone, tablet, or other internet-connected device.

Feedback means feedback, ideas, innovations, suggestions, or recommendations provided by You regarding the attributes, performance, functionality, or features of the Service.

Mobile Messaging Program means the Career Bridge program through which eligible users who opt in may receive SMS, MMS, Rich Communication Services (RCS), or similar mobile messages.

Privacy Policy means the Company's Privacy Policy governing the collection, use, processing, retention, and disclosure of Personal Data.

Service means the Career Bridge Application, website, platform, mobile messaging services, and related products, features, tools, and services provided by the Company.

Terms and Conditions or Terms means these Terms and Conditions, which form an agreement between You and the Company regarding use of the Service.

Third-Party Service means any service, content, software, data, information, product, website, or platform provided by a third party that may be displayed, integrated with, linked to, or otherwise made available through the Service.

Website means the Career Bridge website located at https://www.career-bridge.com and any related Company-controlled webpages.

You means the individual accessing or using the Service, or the company, educational institution, organization, or other legal entity on behalf of which such individual accesses or uses the Service, as applicable.
Acknowledgment
These Terms govern Your access to and use of the Service and establish the rights and obligations of users and the Company.
Your access to and use of the Service is conditioned upon Your acceptance of and compliance with these Terms. These Terms apply to visitors, users, educational institutions, educators, students, business and community partners, administrators, participants, and others who access or use the Service.
You represent and warrant that:

You are at least 18 years old, or, if You are under 18, You have obtained the permission of Your parent or legal guardian to use the Service and Your parent or legal guardian has reviewed and agreed to these Terms on Your behalf;

The registration information You provide is accurate, complete, and truthful;

You will maintain the accuracy of such information;

If You agree to these Terms on behalf of an organization, educational institution, company, or other entity, You represent that You have authority to bind that entity to these Terms; and

You are legally permitted to access and use the Service.
You are responsible for ensuring that You have appropriate authorization to communicate, collaborate, or share information with individuals with whom You interact through the Service.
These Terms are void where prohibited by applicable law, and the right to access the Service is revoked in such jurisdictions.

Career Bridge Mobile Messaging Program
Program Name
The mobile messaging program is operated under the Career Bridge brand by Student-Led Innovations, LLC.
Program Description
Career Bridge may offer users the opportunity to receive recurring communications through SMS, MMS, Rich Communication Services (RCS), or similar mobile messaging technologies.
Career Bridge mobile messages are primarily intended to provide educational, service-related, account, and operational communications associated with Your participation in or use of Career Bridge.
Messages may include, but are not limited to:

Account notifications;

Account verification or security alerts;
-
Course or project invitations;
-
Course, project, internship, work-based learning, or experiential learning updates;
-
Milestone, assignment, task, and deadline reminders;

Event and meeting reminders;
-
Submission notifications;
-
Submission status updates;
-
Project status updates;
-
Work-based learning activity notifications;
-
Timesheet or activity-log reminders;
-
Communications related to Your participation in Career Bridge;

Notifications relating to messages or activity from instructors, administrators, project participants, mentors, business partners, or other authorized Career Bridge users;

Customer support communications;
-
Service announcements; and
-
Other operational notifications associated with the Career Bridge Service.
The Career Bridge Mobile Messaging Program is separate from any marketing or promotional mobile messaging program that Career Bridge may offer.
Consent to receive service, educational, account, or operational messages does not constitute consent to receive marketing or promotional mobile messages. Where separate consent is required for promotional or marketing mobile communications, Career Bridge will obtain that consent separately.
Consent to Mobile Messaging
Participation in the Career Bridge Mobile Messaging Program is based on the applicable opt-in process.
Acceptance of these Terms, acceptance of the Career Bridge Privacy Policy, creation of a Career Bridge Account, or provision of a mobile telephone number does not, by itself, constitute consent to receive recurring SMS, MMS, or RCS messages where separate consent is required.
By affirmatively opting in to the Career Bridge Mobile Messaging Program, You consent to receive the categories of mobile messages disclosed to You during the applicable opt-in process at the mobile telephone number You provide.
Your consent applies only to the messaging program and subject matter for which You provided consent.
If Career Bridge materially changes the subject matter or purpose of a messaging program in a manner that requires additional consent, Career Bridge may request additional or renewed consent before sending such messages.

Message Frequency
Message frequency varies.
The number and frequency of messages You receive may depend on Your Account activity, courses, projects, work-based learning experiences, milestones, deadlines, events, submissions, communications, notification settings, and other activity associated with Your participation in Career Bridge.
Message and Data Rates
Message and data rates may apply.
Charges associated with sending or receiving SMS, MMS, RCS, or other mobile messages are determined by Your wireless carrier and mobile service plan. Career Bridge is not responsible for charges imposed by Your wireless carrier.
Opting Out
REPLY STOP TO CANCEL AND UNSUBSCRIBE FROM RECURRING CAREER BRIDGE MOBILE MESSAGES.
You may withdraw Your consent to receive recurring mobile messages at any time by replying STOP to a Career Bridge message.
After You send STOP, We may send one final message confirming that Your opt-out request has been processed. After Your opt-out has been processed, You will no longer receive messages covered by that opt-out unless You subsequently opt in again.
Other standard opt-out keywords may also be recognized where supported by Our messaging provider or applicable carrier requirements.
Opting out of mobile messaging does not necessarily terminate Your Career Bridge Account or Your ability to access other aspects of the Service.

Carrier Disclaimer
Carriers are not liable for any delayed or undelivered messages.
Message delivery is subject to effective transmission by Your wireless carrier, network availability, Device compatibility, and other factors outside Career Bridge's control. Delivery of every message cannot be guaranteed.
Mobile Number Changes, Transfers, or Deactivation
If You change, transfer, surrender, or deactivate the mobile telephone number associated with Your Career Bridge Account or messaging preferences, please update Your Account information and communication preferences so that future messages are directed to the appropriate number.
This provision is intended to help maintain accurate contact information and does not impose liability upon You for failing to opt out before changing or deactivating a mobile number.
Mobile Messaging Privacy
Career Bridge's collection, use, and protection of mobile telephone numbers, opt-in information, and messaging consent are governed by Our Privacy Policy:

Mobile telephone numbers, text messaging originator opt-in data, and messaging consent will not be sold, rented, transferred, or shared with third parties or affiliates for their independent marketing or promotional purposes.
Messaging information may be processed by messaging aggregators, telecommunications carriers, and Service Providers only as necessary to administer, operate, and deliver Career Bridge messaging services or as otherwise permitted by applicable law.
User Accounts
When You create an Account with Us, You must provide information that is accurate, complete, and current. Failure to do so may constitute a breach of these Terms and may result in suspension or termination of Your Account.
You are responsible for safeguarding the password or other credentials used to access the Service and for activities conducted through Your Account.
You agree not to disclose Your password or authentication credentials to unauthorized third parties.
You must notify Us promptly if You become aware of any unauthorized use of Your Account, compromised credentials, or other security breach.
You may not use as a username the name of another person or entity in a manner that is unauthorized or misleading, a name or trademark subject to the rights of another person or entity without appropriate authorization, or a name that is otherwise unlawful, offensive, vulgar, or obscene.
Content
Your Right to Post Content
Our Service may allow You to post, upload, submit, communicate, or otherwise make Content available.
You are responsible for Content that You provide through the Service, including its legality, reliability, accuracy, and appropriateness.
By providing Content through the Service, You grant Us a non-exclusive license to host, store, reproduce, process, display, transmit, distribute, and otherwise use that Content as reasonably necessary to operate, provide, maintain, improve, and support the Service.
You retain any ownership rights You otherwise hold in Content You submit.
You represent and warrant that:

You own the Content or have the rights and permissions necessary to use and submit it and to grant Us the rights described in these Terms; and

Content Restrictions
You are responsible for Content and activity associated with Your Account.
You may not submit, transmit, upload, or distribute Content that is unlawful, harmful, threatening, defamatory, obscene, fraudulent, abusive, discriminatory, invasive of privacy, infringing, or otherwise prohibited by applicable law or these Terms.
Prohibited Content or activities may include, without limitation:

Unlawful Content or Content promoting unlawful activity;

Defamatory, unlawfully discriminatory, harassing, or threatening Content;

Unauthorized spam, advertising, chain letters, solicitations, lotteries, or gambling;

Viruses, worms, malware, Trojan horses, malicious code, or other Content intended to disrupt, damage, interfere with, or obtain unauthorized access to systems, Devices, software, or data;

Content that infringes patents, trademarks, trade secrets, copyrights, publicity rights, or other proprietary rights;

Impersonation of another person, entity, the Company, or its representatives;

Unauthorized disclosure of another person's Personal Data or confidential information;

Deliberately false, fraudulent, or misleading information; or
-
Other Content that violates applicable law or the rights of another party.
The Company reserves the right, but not the obligation, to review, restrict, remove, refuse, or disable Content that We reasonably determine violates these Terms, applicable law, or the rights or safety of the Company, users, or third parties.
We may also restrict, suspend, or terminate access to the Service where appropriate.
Because We cannot control all Content submitted by users or third parties, You acknowledge that You may encounter Content You consider offensive, incorrect, inappropriate, or objectionable.
Content Backups
Although We may perform backups of Content, We do not guarantee that Content will never be lost, corrupted, altered, or unavailable.
The Company may provide support and attempt to address known issues affecting Content or backups, but We cannot guarantee restoration of Content to a usable state.
Where appropriate, You are encouraged to maintain independent copies of important Content.
Research and Development
We may use aggregated, anonymized, or de-identified information for research, statistical, analytical, academic, product-development, reporting, study, or publication purposes, provided that personally identifiable information is not disclosed except as permitted by Our Privacy Policy, Your consent, or applicable law.
Intellectual Property Infringement
We respect the intellectual property rights of others.
If You are a copyright owner or authorized to act on behalf of one and believe copyrighted work has been copied or used through the Service in a manner that constitutes copyright infringement, You may submit a written notice to:
Your notice should include sufficient information for Us to identify and investigate the alleged infringement.
You may be responsible for damages, including costs and attorneys' fees where permitted by law, if You knowingly materially misrepresent that Content is infringing.

The Service and its original Content, excluding Content provided by users or third parties, together with its features, functionality, software, design, trademarks, trade dress, and other intellectual property, are and will remain the property of the Company and its licensors.
The Service is protected by copyright, trademark, patent, trade-secret, and other applicable laws of the United States and other jurisdictions.
Our trademarks and trade dress may not be used in connection with any product or service without the Company's prior written consent except as permitted by applicable law.
Your Feedback to Us
To the extent permitted by law, You assign to the Company all rights, title, and interest in Feedback You voluntarily provide regarding the Service.
If such assignment is ineffective, You grant the Company a non-exclusive, perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, disclose, distribute, modify, develop, and otherwise exploit such Feedback without restriction or compensation to You.

Our Service may contain links to third-party websites or services that are not owned or controlled by the Company.
The Company does not control and assumes no responsibility for the content, privacy policies, security, practices, availability, goods, or services of third-party websites or services.
You acknowledge and agree that the Company will not be responsible or liable, directly or indirectly, for damage or loss caused or alleged to have been caused by use of or reliance upon content, goods, or services available through third-party websites or services.

Termination
We may terminate or suspend Your Account or access to the Service, with or without prior notice where permitted by law, including if You materially breach these Terms, misuse the Service, create security risks, engage in unlawful conduct, or threaten the rights or safety of the Company, users, or third parties.
Upon termination, Your right to use the affected Service will cease.
If You wish to terminate Your Account, You may discontinue use of the Service and, where available, submit an Account termination request through the Service or contact Us.
Termination of Your Account and opting out of the Career Bridge Mobile Messaging Program are separate actions. You may opt out of recurring mobile messages without necessarily terminating Your Account by following the STOP instructions in the Mobile Messaging Program section of these Terms.
Limitation of Liability
To the maximum extent permitted by applicable law, the entire liability of the Company and its suppliers under any provision of these Terms, and Your exclusive remedy for the foregoing, shall be limited to the amount actually paid by You through the Service or one hundred U.S. dollars ($100), whichever is greater, unless applicable law requires otherwise.
To the maximum extent permitted by applicable law, in no event shall the Company or its Affiliates, licensors, Service Providers, employees, agents, officers, directors, or suppliers be liable for special, incidental, indirect, exemplary, punitive, or consequential damages, including damages for loss of profits, loss of data, loss of business, business interruption, personal injury, or loss of privacy arising out of or relating to the use of or inability to use the Service, even if advised of the possibility of such damages.
Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, Our liability will be limited to the greatest extent permitted by applicable law.
"AS IS" and "AS AVAILABLE" Disclaimer
THE SERVICE IS PROVIDED TO YOU "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND DEFECTS AND WITHOUT WARRANTY OF ANY KIND.
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, THE COMPANY, ON ITS OWN BEHALF AND ON BEHALF OF ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS, DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OR TRADE PRACTICE.
Without limiting the foregoing, the Company makes no warranty or representation that:

The Service will meet Your requirements or achieve any particular result;

Messages, notifications, Content, or communications will always be delivered;

Neither the Company nor its providers warrant that the Service, servers, Content, communications, or electronic messages will be free from viruses, scripts, malware, worms, Trojan horses, or other harmful components.
Some jurisdictions do not permit exclusions of certain warranties or limitations on statutory consumer rights. Where such restrictions apply, these exclusions and limitations will apply only to the maximum extent permitted by law.
Governing Law
These Terms and Your use of the Service shall be governed by applicable federal law of the United States and the laws of the State of Texas, without regard to conflict-of-law principles.
Your use of the Service may also be subject to applicable local, state, federal, national, or international laws and regulations.
Dispute Resolution
If You have a concern or dispute relating to the Service, You agree to first attempt to resolve the matter informally by contacting the Company.
Nothing in this provision limits rights or remedies that cannot lawfully be waived.
United States Legal Compliance
You represent and warrant that:

You are not located in a country subject to a United States government embargo or designated by the United States government as supporting terrorism; and

You are not listed on any United States government list of prohibited or restricted parties.
Severability
If any provision of these Terms is held to be unenforceable or invalid, that provision will be modified and interpreted to accomplish its intended purpose to the greatest extent permitted by applicable law, and the remaining provisions will remain in full force and effect.
Waiver
Failure by either party to exercise a right or require performance of an obligation under these Terms shall not affect that party's ability to exercise the right or require performance at a later time.
A waiver of one breach shall not constitute a waiver of any subsequent breach.
Translation Interpretation
These Terms may be translated into other languages for convenience. Unless prohibited by applicable law, the original English-language version will control in the event of a conflict or inconsistency between translations.
Changes to These Terms and Conditions
We reserve the right to modify or replace these Terms from time to time.
If a revision is material, We will make reasonable efforts to provide notice before the revised Terms become effective, where required or appropriate.
We will update the "Last updated" date at the beginning of these Terms when changes are published.
Your continued access to or use of the Service after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
If You do not agree to revised Terms, You should stop using the affected Service.
Changes to these Terms do not retroactively expand the scope of any mobile messaging consent You previously provided. If additional consent is required for a new category or subject matter of mobile messaging, Career Bridge will obtain that consent separately.
